These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and AjutaCare ("AjutaCare," "we," "us," or "our") governing your access to and use of the AjutaCare platform, website, and related services (collectively, the "Service").
By creating an account, clicking "I agree," or otherwise accessing or using the Service, you represent that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our HIPAA Business Associate Agreement where applicable.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
AjutaCare is a cloud-based home care management platform that provides tools for managing residents, medication administration records (MAR), staff scheduling, incident reporting, vitals tracking, billing, and related workflows for home care agencies.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice of material changes that affect your use of the Service.
To use AjutaCare, you must register for an account by providing accurate and complete information. You agree to keep this information current and accurate.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must:
You must be at least 18 years of age and have the legal authority to operate a home care agency or work within one to use AjutaCare. The Service is intended for professional use only.
AjutaCare offers three subscription plans: Starter ($99/month), Professional ($199/month), and Enterprise ($399/month). Plan features and resident limits are described on our pricing page and within the platform.
New accounts receive a 14-day free trial. No credit card is required to start a trial. At the end of the trial period, you must select a paid plan to continue using the Service. Trial data is retained for 30 days after trial expiration.
Subscriptions are billed monthly. Payment may be made by bank transfer, check, or credit card (where available). Invoices are due upon receipt. Accounts with overdue balances of more than 30 days may be suspended.
Subscription fees are non-refundable except where required by applicable law. If you cancel your subscription, you will continue to have access to the Service through the end of your current billing period.
You may upgrade your plan at any time. Downgrades take effect at the start of the next billing period. If your resident count exceeds the limit of a downgraded plan, you must reduce your resident count before the downgrade takes effect.
You agree to use AjutaCare only for lawful purposes and in accordance with these Terms. You agree not to:

Your data belongs to you. AjutaCare does not claim ownership of any data you enter into the platform, including resident records, clinical data, staff information, or agency data.
You grant AjutaCare a limited, non-exclusive license to process your data solely for the purpose of providing and improving the Service.
You may export your data at any time through the platform's export features. Upon account termination, you may request a full data export within 30 days.
If you are a Covered Entity under HIPAA (which includes most home care agencies), you must execute a Business Associate Agreement (BAA) with AjutaCare before entering any Protected Health Information (PHI) into the platform.
By using AjutaCare to store or process PHI, you represent and warrant that:

The AjutaCare platform, including its design, software, features, and content (excluding customer data), is owned by AjutaCare and protected by copyright, trademark, and other intellectual property laws.
These Terms do not grant you any right to use the AjutaCare name, logo, or trademarks without our prior written permission.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant that any particular feature will be available at any particular time.
AjutaCare is a management tool. It does not provide medical advice, clinical guidance, or substitute for professional judgment. Home care agencies remain solely responsible for the clinical care of their residents and for compliance with applicable regulations.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AJUTACARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.
IN NO EVENT SHALL AJUTACARE'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO AJUTACARE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability, so the above limitations may not apply to you.
Either party may terminate these Terms at any time. You may terminate by canceling your account within the platform or by contacting support. We may terminate or suspend your account immediately, without notice, for violations of these Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions.
Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in King County, Washington, except that either party may seek injunctive relief in any court of competent jurisdiction.
We may update these Terms from time to time. We will notify you of material changes by email and by posting a notice within the platform at least 14 days before the changes take effect.
Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
